These Terms of Service ("Terms") govern your use of Lorna Dev's engineering consulting services and website. By engaging our services or using our website, you agree to these terms.

Lorna Dev provides engineering consulting services including but not limited to:

  • Software development and architecture consulting
  • System automation and workflow optimization
  • Performance optimization and cost reduction
  • API integration and data flow design
  • Internal tool and dashboard development
  • Code review and technical guidance

Project Engagement

Project Proposals and Agreements

All projects begin with a discovery phase to understand your requirements, constraints, and goals. We'll provide a detailed project proposal including:

  • Scope of work and deliverables
  • Timeline and milestones
  • Estimated costs and payment terms
  • Success criteria and acceptance process

Projects proceed only after mutual agreement on scope, timeline, and compensation.

Communication and Collaboration

We maintain regular communication throughout the project:

  • Weekly progress updates and status reports
  • Direct access to the engineering team
  • Regular check-ins and milestone reviews
  • Immediate notification of any issues or blockers

Payment Terms

Payment Structure

We offer flexible payment structures based on project type:

  • Fixed-Price Projects: Agreed total cost with progress-based milestones
  • Retainer Services: Monthly recurring payments for ongoing support
  • Advisory Services: Hourly or daily rates for consultation

Payment Schedule

  • 50% upfront payment to begin work
  • 25% upon completion of major milestones
  • 25% upon final delivery and acceptance
  • Net 30 payment terms for retainer clients

Late Payments

Payments not received by the due date may result in:

  • Work suspension until payment is received
  • Additional charges for delayed project timelines
  • Interest charges on overdue amounts (1.5% per month)

Project Delivery and Acceptance

Deliverables

All deliverables include:

  • Production-ready code following industry best practices
  • Comprehensive documentation and runbooks
  • Automated testing and deployment pipelines
  • Monitoring and alerting setup
  • Knowledge transfer and team training

Acceptance Process

Project acceptance requires:

  • Successful deployment to staging environment
  • Completion of agreed-upon test cases
  • Documentation review and approval
  • Client sign-off on all deliverables

Scope Changes and Additional Work

Changes to project scope may affect timeline and cost. We follow this process for scope changes:

  1. Written request for scope change
  2. Impact assessment (time, cost, risk)
  3. Mutual agreement on changes
  4. Updated project plan and timeline
  5. Formal contract amendment if required

Additional work discovered during the project will be documented and may require a separate agreement.

Intellectual Property

Client Work

All work performed for clients remains the intellectual property of the client. We retain no rights to client-specific code, designs, or solutions.

Our Tools and Methodologies

Lorna Dev retains ownership of:

  • Internal tools and frameworks developed by our team
  • Consulting methodologies and processes
  • Reusable code libraries and components
  • Documentation templates and best practices

Confidentiality

Both parties agree to maintain confidentiality of:

  • Proprietary business information
  • Technical implementations and architectures
  • Client data and systems
  • Project details and pricing

Confidentiality obligations survive the termination of our agreement.

Liability and Warranties

Service Warranty

We warrant that our services will be performed in a professional manner and in accordance with industry standards. However:

  • We do not guarantee specific business outcomes or results
  • System performance depends on many factors outside our control
  • Third-party services and integrations are not covered by our warranty

Limitation of Liability

Our total liability for any claim arising from our services is limited to the amount paid for those specific services in the preceding 12 months.

We are not liable for:

  • Indirect, incidental, or consequential damages
  • Loss of profits, data, or business opportunities
  • Third-party claims or disputes
  • Issues caused by client-provided information or requirements

Termination

Either party may terminate the agreement with 30 days written notice. Upon termination:

  • All outstanding payments become immediately due
  • Work in progress will be completed or compensated based on completion percentage
  • All client materials will be returned or destroyed as requested
  • Confidentiality obligations remain in effect

Dispute Resolution

We prefer to resolve disputes amicably through direct communication. If a resolution cannot be reached:

  1. Non-binding mediation with a neutral third party
  2. Binding arbitration in accordance with local laws
  3. Legal action in the courts of the client's jurisdiction

Force Majeure

Neither party is liable for delays or failures caused by events beyond reasonable control, including:

  • Natural disasters or acts of God
  • War, terrorism, or civil unrest
  • Government restrictions or regulations
  • Internet or communication failures
  • Pandemics or health emergencies

Governing Law

These Terms are governed by the laws of the jurisdiction where the client is located, without regard to conflict of law principles.

Changes to Terms

We may update these Terms from time to time. Changes will be communicated via email or posted on our website with a 30-day notice period for existing clients.
